Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and the operator of Divrite described below. They apply to the Divrite website, web application, exports, share pages and any related services (together, the “Service”). Our Privacy Policy, Acceptable Use Policy, Refund Policy and Cookie Policy form part of these Terms.
If you do not agree to these Terms, do not use the Service. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.
Who provides the service
Divrite is provided by Divrite, an individual operator (not a company) (“Divrite”, “we”, “us”). You can contact us at [email protected].
Purchases are processed by our online reseller Waffo, which is the Merchant of Record for all our orders. Waffo’s own buyer terms apply to the payment transaction itself; these Terms apply to your use of the Service.
Eligibility and accounts
- You must be at least 16 years old to use the Service. If you are under the age of majority where you live, a parent or guardian must agree to these Terms and approve any purchase.
- You sign in with an emailed sign-in link or with Google. You are responsible for keeping access to your email account secure, because anyone who can read your email can sign in as you.
- Give us accurate information and keep your email address up to date. An account is for one person; do not share it or let others use it.
- Tell us promptly at [email protected] if you believe your account has been used without your permission.
- You may not use the Service if you are barred from doing so under applicable law, including sanctions laws.
The service
Divrite is an AI research tool. You ask a question; the Service plans a research approach, searches the web and any files you provide, and produces content such as research reports, presentations, interactive web pages and images, with links to the sources it used. Some features, such as topic subscriptions, run on a schedule you set.
Using Divrite to generate content requires a paid subscription. Without a subscription you can browse public pages and examples but cannot generate content. We are continuously improving the Service and may add, change or remove features. If we remove a feature that is a material part of a paid plan, we will tell you in advance and, if you are on a prepaid annual plan, offer a pro-rata refund of the unused period if you cancel because of the change.
Subscriptions and auto-renewal
- No free plan, no trial. Divrite is offered only through paid plans, billed monthly or annually in USD. Current plans and prices are shown on our pricing page and at checkout.
- Auto-renewal. Your subscription renews automatically at the end of each billing period (each month, or each year for annual plans) and the payment method on file is charged the then-current price, plus any applicable tax, until you cancel.
- Taxes. Sales tax, VAT or GST is calculated at checkout based on your location and collected by the payment provider.
- Price changes. We may change prices for future billing periods. We will notify you by email at least 30 days before a price change applies to your subscription. If you do not agree, you can cancel before the change takes effect.
- Upgrades and downgrades. An upgrade takes effect immediately and is charged at the full price of the new plan; a new billing period starts on that day. Monthly credits left from your previous plan are replaced by the new plan’s monthly allowance and are not refunded; top-up credits are kept. Downgrades, and switches from annual to monthly billing, can be made when your current billing period ends.
- Failed payments. If a renewal payment fails, the payment provider may retry it. If payment cannot be collected, your subscription may be paused or ended and generation will be unavailable until payment succeeds.
Credits and top-ups
Generation in Divrite is measured in credits. Each action (for example a web search, a deep research report, a slide or an image) uses credits depending on its complexity.
- Monthly allowance. Each plan includes a monthly credit allowance, granted at the start of each monthly billing cycle. Annual plans receive their allowance monthly, not all at once.
- Monthly credits do not roll over. Unused credits from your monthly allowance expire at the end of that monthly cycle and are not carried forward or refunded.
- Top-ups. Subscribers can buy top-up packs (currently 3,000 credits for $10). Top-up credits do not expire while your subscription is active. If your subscription ends, unused top-up credits stay on your account and become usable again if you resubscribe; they are forfeited if your account is deleted.
- Order of use. Monthly credits are used first, then top-up credits.
- Usage-based charging. Credits are charged for the work a task actually uses: language-model processing, web searches and page reads, and images. How many credits a task uses depends on how much research and content it involves. Every charge is listed in your account.
- Failed tasks are not charged. If a task fails without producing a result, all credits it used are returned to your balance automatically. Tasks you stop or cancel yourself are charged for the work done until then.
- Changes to credit rates. We may change how many credits an action uses as our own costs change. Changes apply only to tasks started afterwards.
- No cash value. Credits are a measure of usage, not currency. They have no cash value, cannot be transferred or sold, and are refundable only as described in our Refund Policy.
Cancellation and refunds
- You can cancel at any time from your account settings. Cancellation stops future renewals; you keep access and your remaining monthly credits until the end of the period you have already paid for.
- You can ask for a refund at any time. We refund your current payment in proportion to the credits you have not used, as set out in our Refund Policy. Credits already used, and billing periods that have already ended, are not refunded except where the law requires.
- EU and UK consumers. You normally have a 14-day right to withdraw from a contract for digital services. Because Divrite starts providing the Service as soon as you subscribe, at checkout you ask us to begin immediately and acknowledge that if you withdraw within 14 days, you may be charged for the part of the Service already provided (measured by credits used), and that you lose the right of withdrawal once the Service has been fully provided. Our Refund Policy already refunds the unused part at any time, so it is at least as generous as this right.
Your content and outputs
- You own your inputs and outputs. As between you and us, you retain all rights in the questions, instructions and files you provide (“Inputs”). Subject to your compliance with these Terms, we assign to you any rights we have in the content the Service generates for you (“Outputs”). You may use Outputs for any lawful purpose, including commercial use.
- The licence you give us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your Inputs and Outputs only as needed to provide, secure and support the Service for you, and to carry out your instructions (for example creating a share link). This licence ends when you delete the content or your account, except for copies we must keep by law or that remain for a limited time in backups.
- No training. We do not use your Inputs or Outputs to train AI models.
- Sharing and publishing. Your work is private by default. If you create a share link, anyone with the link can view that work. If you choose to publish a work to our public gallery, you grant us a licence to display it publicly, with attribution to Divrite as “Generated with Divrite”, until you unpublish it.
- Your responsibility. You confirm that you have the rights needed to provide your Inputs (including uploaded files) and that your Inputs and your use of Outputs do not violate the law or anyone’s rights.
- Outputs may not be unique. Other users may receive similar outputs to similar questions. Your rights do not extend to outputs generated for others.
- Third-party material. Outputs may quote, summarise or include material from third-party sources, such as figures, text excerpts or images found during research. That material remains owned by its rights holders. Before you republish an Output, check that your use of any third-party material, especially images, is permitted.
AI output and accuracy
Divrite uses AI models and automated web search. Outputs can be inaccurate, incomplete, outdated or biased, even when they cite sources: a model can misread a source, a source can be wrong, and a search can miss relevant information. Citations help you check the work; they are not a guarantee.
- Verify important facts, figures and quotations against the original sources before you rely on them or share them.
- Outputs are not professional advice. Do not rely on them as a substitute for legal, medical, financial, tax or other professional advice.
- You are responsible for how you use Outputs and for decisions you make based on them.
Acceptable use
You must use the Service in accordance with our Acceptable Use Policy, which describes prohibited content and activities. Among other things, you may not use the Service for unlawful purposes, to harm others, to infringe intellectual property or privacy rights, or to circumvent usage limits, credits or security measures. You may not access the Service through automated means except through interfaces we provide for that purpose, or resell or sublicense access to it.
Our intellectual property
The Service, including its software, design, templates, the Divrite name and logo, and our own website content, is owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal business purposes in accordance with these Terms. Templates, layouts and fonts included in your exports may be used as part of those exports; you may not extract and redistribute them separately.
If you send us feedback or suggestions, we may use them without obligation to you.
Third-party services and content
The Service relies on third-party providers (for example hosting, AI models, search and payments) and links to third-party websites in research results. We are not responsible for third-party websites or their content, and the inclusion of a source in an Output does not mean we endorse it. Your use of third-party services, such as signing in with Google or paying through our payment provider, is also subject to their terms.
Divrite is an independent product. We are not affiliated with, endorsed by or sponsored by the providers of the AI models and services we use (see Models we use); their names and trademarks belong to their respective owners.
Suspension and termination
- You can stop using the Service and delete your account at any time from your account settings. Deletion is final after a 7-day grace period, as described in our Privacy Policy.
- We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy, if your use creates a risk of harm or legal liability, if required by law, or if payment fails. Where reasonable, we will give you notice and a chance to fix the issue first.
- If we terminate your account without cause, or because we stop offering the Service, we will give you at least 30 days’ notice where possible, let you export your work, and refund any prepaid fees for the unused period.
- If we terminate your account for a serious breach, you are not entitled to a refund, except where the law requires one.
- Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability and governing law) survive.
Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that Outputs will be accurate or complete.
Nothing in these Terms limits rights you have as a consumer that cannot be limited by contract. If you are a consumer in the EU or UK, you have legal rights in relation to digital content and services that are not as described, and these Terms do not affect those rights.
Limitation of liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Service or these Terms.
- Our total liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.
These limits do not apply to liability that cannot be limited or excluded by law, such as liability for death or personal injury caused by negligence, or for fraud. If you are a consumer in the EU or UK, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.
Indemnity
To the extent permitted by law, you agree to indemnify us against third-party claims, and related losses and reasonable costs, arising from your Inputs, your use of Outputs in breach of these Terms, or your violation of the Acceptable Use Policy or of law. This section does not apply to consumers where such indemnities are not permitted.
Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Disputes will be submitted to the non-exclusive jurisdiction of the courts of Singapore, except where applicable law gives you the right to bring proceedings elsewhere.
If you are a consumer, you also benefit from any mandatory protections of the law of the country where you live, and you may bring proceedings in the courts of that country. Before starting formal proceedings, please contact us at [email protected]; most issues can be resolved quickly that way.
Changes to the service and terms
We may update these Terms from time to time. The “Last updated” date shows when they were last changed. If a change materially affects your rights, we will notify you by email or in the product at least 14 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you continue to use the Service after the change takes effect, the updated Terms apply. If you do not agree, you can cancel your subscription and stop using the Service.
General
- Entire agreement. These Terms, together with the policies referred to in them, are the entire agreement between you and us about the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer them in connection with a transfer of the Divrite business, provided your rights are not reduced; we will tell you if this happens.
- Events beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as outages of third-party providers, network failures or natural disasters.
- Language. These Terms are written in English. If we provide a translation, the English version prevails to the extent permitted by law.
- Notices. We will send notices to the email address on your account. You can send notices to us at [email protected].
